This Legal Notice and all matters relating to the ShowerPureBlu website, merchant portal, commercial agreements, and business operations are governed by and construed in accordance with the laws of:

The Emirate of Dubai
The United Arab Emirates

Any dispute, claim, or controversy arising out of or relating to these terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in accordance with the rules of:

• Dubai Arbitration Centre (DAC) under DIFC Rules

• Dubai Courts (first instance jurisdiction)

3. INTELLECTUAL PROPERTY RIGHTS

3.1 Trademarks

The name "ShowerPureBlu", the ShowerPureBlu logo, and all related product names, design marks, and slogans are registered and unregistered trademarks of ShowerPureBlu.

No permission is granted to use any ShowerPureBlu trademark, logo, or trade name without prior written consent.

3.2 Copyright

All content on the ShowerPureBlu website and merchant portal, including but not limited to:

• Text and articles

• Product images and videos

• Graphics and design elements

• Technical specifications

• Marketing materials

...are the exclusive property of ShowerPureBlu and protected by UAE and international copyright laws.

3.3 Product Patents

ShowerPureBlu products are protected by design patents and utility patents. Any unauthorized reproduction, copying, or imitation constitutes patent infringement and will be pursued legally.

4. DISCLAIMER OF WARRANTIES

To the maximum extent permitted by UAE law:

• All ShowerPureBlu products are provided "as is" without any express or implied warranties except as specifically stated in the product warranty

• ShowerPureBlu makes no representations or warranties regarding:

  • Product performance in specific water conditions

  • Compatibility with third-party systems

  • Results or outcomes of product use

• We do not warrant that the website or merchant portal will be uninterrupted or error-free

5. LIMITATION OF LIABILITY

ShowerPureBlu shall not be liable for:

Maximum Liability: In no event shall ShowerPureBlu's total liability exceed the total amount paid by the Merchant for the specific product(s) in question.

6. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless ShowerPureBlu, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your breach of these Terms or any other ShowerPureBlu policy

• Your misuse or modification of ShowerPureBlu products

• Your violation of any law or regulation

• Your handling or resale of products to end-consumers

• Any claim by your customers arising from your products or services

7. CONFIDENTIALITY

All information disclosed by ShowerPureBlu to Merchants, including but not limited to:

• Pricing structures and discounts

• Product specifications and designs

• Business strategies and plans

• Customer lists and data

• Technical information

...shall be treated as confidential and shall not be disclosed to third parties without ShowerPureBlu's prior written consent.

Survival: This confidentiality obligation survives termination of the commercial relationship for a period of 5 years.

8. DATA PROTECTION AND PRIVACY

ShowerPureBlu is committed to protecting the privacy of our merchants and business partners. Personal data is collected and processed in accordance with:

• UAE Federal Law No. 45 of 2021 (Personal Data Protection Law)

• Dubai Data Protection Law (DIFC Law No. 5 of 2020)

9. FORCE MAJEURE

ShowerPureBlu shall not be liable for failure to perform obligations under these Terms or other commercial agreements if such failure is caused by events beyond reasonable control, including:

• Natural disasters

• War, terrorism, or civil unrest

• Government actions or regulations

• Strikes or labor disputes

• Supply chain disruptions

• Pandemics or health emergencies

• Acts of God

10. SEVERABILITY

If any provision of this Legal Notice is found to be invalid, illegal, or unenforceable under UAE law:

• The remaining provisions shall remain in full force and effect

• The invalid provision shall be replaced with a valid provision that most closely reflects the original intent

11. WAIVER

No failure or delay by ShowerPureBlu to exercise any right, power, or remedy shall operate as a waiver thereof. No waiver of any single breach shall be deemed a waiver of any subsequent breach.

12. ENTIRE AGREEMENT

This Legal Notice, together with the:

• Merchant Terms of Service

• Merchant Return & Refund Policy

• Merchant Privacy Policy

• Merchant Shipping Policy

...constitute the entire agreement between ShowerPureBlu and the Merchant, superseding all prior agreements, negotiations, and representations.

13. AMENDMENTS

ShowerPureBlu reserves the right to modify this Legal Notice at any time. Changes will be effective upon:

1. Publication on the ShowerPureBlu website and merchant portal

2. Email notification to registered Merchants (15 days' prior notice for material changes)

Continued use of the ShowerPureBlu merchant services after changes constitute acceptance of the revised Legal Notice.

14. THIRD-PARTY RIGHTS

This Legal Notice is for the benefit of ShowerPureBlu and its Merchants. No third party (including end-consumers) shall have any rights to enforce these terms unless explicitly stated.

15. COMPLIANCE WITH LAWS

Merchants agree to comply with all applicable UAE laws and regulations, including:

• UAE Commercial Transactions Law

• UAE Consumer Protection Law (Federal Law No. 24 of 2006)

• UAE VAT Law

• UAE Competition Law

• UAE Anti-Money Laundering Law

16. REPORTING VIOLATIONS

If you become aware of any violation of these Terms, policies, or applicable laws, please report to:

Reports may be made anonymously. All reports are treated with strict confidentiality.
