1. COMPANY INFORMATION

2. SCOPE AND ACCEPTANCE

These Terms of Service ("Terms") govern all commercial relationships between ShowerPureBlu and any Merchant (distributor, retailer, wholesaler, online reseller) purchasing products for resale.

By placing an order with ShowerPureBlu, the Merchant accepts these Terms in full. These Terms supersede any conflicting terms in the Merchant's own purchase orders unless explicitly waived in writing by ShowerPureBlu.

3. MERCHANT REGISTRATION

To become a registered Merchant, you must:

• Be a legally registered business in the UAE or applicable jurisdiction

• Provide valid trade license and VAT certificate

• Complete the Merchant Application Form

• Maintain accurate and up-to-date business information

ShowerPureBlu reserves the right to refuse or terminate any Merchant account at our sole discretion.

4. ORDERS AND PRICING

Prices are exclusive of shipping unless otherwise specified.

5. PAYMENT TERMS

Late Payment: Interest of 2% per month applies to overdue invoices.

6. DELIVERY COMMITMENT (ALL 7 EMIRATES)

Shipping Terms:

• Delivery to all 7 Emirates: Dubai, Abu Dhabi, Sharjah, Ajman, Umm Al Quwain, Ras Al Khaimah, Fujairah

• Tracking provided within 4 hours of dispatch

• Risk of loss passes to Merchant upon delivery (signed POD)

• Claims for damaged/missing items must be made within 48 hours of receipt

7. PRODUCT WARRANTY

ShowerPureBlu warrants that products:

• Are free from manufacturing defects at the time of delivery

• Meet the specifications described in product documentation

Warranty Period: 12 months from date of purchase (for manufacturing defects only)

Exclusions:

• Normal wear and tear

• Damage from improper installation or misuse

• Damage from water quality issues outside product specifications

• Unauthorized modification or repair

8. RETURNS AND REFUNDS

Returns are governed by the ShowerPureBlu Merchant Return & Refund Policy (separate document).

Key Points:

• Returns require RMA number

• Restocking fees apply (0–15% based on tier)

• Return window: 14–30 days based on tier

• End-consumer returns handled by Merchant

9. MERCHANT OBLIGATIONS

The Merchant agrees to:

• Maintain adequate inventory records for traceability

• Handle end-consumer returns and complaints in a timely manner

• Not modify, relabel, or rebrand ShowerPureBlu products without written consent

• Not make false or misleading claims about ShowerPureBlu products

• Comply with all applicable UAE laws and regulations

• Report quality issues immediately (within 7 calendar days)

• Not sell ShowerPureBlu products through unauthorized channels

10. INTELLECTUAL PROPERTY

All intellectual property rights in ShowerPureBlu products, including:

• Trademarks ("ShowerPureBlu" name and logo)

• Product designs

• Packaging

• Marketing materials

• Website content

...remain the exclusive property of ShowerPureBlu.

Merchants may not:

• Use ShowerPureBlu trademarks without permission

• Copy or imitate product designs

• Register similar trademarks or domain names

11. MARKETING AND ADVERTISING

• Merchants may advertise ShowerPureBlu products using approved marketing materials

• All advertising must be accurate and not misleading

• Online listings must use official product images and descriptions

• Minimum advertised price (MAP) may apply – contact us for details

12. CONFIDENTIALITY

Merchants agree to keep confidential:

• Pricing and discount structures

• Product specifications

• Business strategies

• Any other information designated as confidential

Confidentiality obligations survive termination of the commercial relationship.

13. LIMITATION OF LIABILITY

To the maximum extent permitted by UAE law:

• ShowerPureBlu's total liability is limited to the invoice value of the products in question

• ShowerPureBlu is not liable for indirect, incidental, or consequential damages

• Merchant assumes all risks associated with product resale, including liability to end-consumers

14. INDEMNIFICATION

The Merchant agrees to indemnify and hold ShowerPureBlu harmless from:

• Any claims arising from Merchant's handling or resale of products

• Any violations of UAE consumer protection laws by Merchant

• Any misuse or modification of products by Merchant

15. TERMINATION

Upon termination:

• All outstanding payments become immediately due

• Merchant must cease using ShowerPureBlu trademarks

• Merchant must return any confidential information

16. FORCE MAJEURE

ShowerPureBlu is not liable for failure to perform obligations due to circumstances beyond reasonable control, including:

• Natural disasters

• Government actions

• War or civil unrest

• Supplier disruptions

• Logistics failures

17. GOVERNING LAW AND DISPUTE RESOLUTION

Process:

1. Internal escalation to Commercial Director (5 business days)

2. Mediation (10 business days)

3. Arbitration (if unresolved)

18. AMENDMENTS

ShowerPureBlu reserves the right to amend these Terms with 15 days' prior written notice to all registered Merchants. Continued purchasing after the effective date constitutes acceptance of the revised Terms.

19. SEVERABILITY

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

20. ENTIRE AGREEMENT

These Terms, together with the Return & Refund Policy and Privacy Policy, constitute the entire agreement between ShowerPureBlu and the Merchant.
