2. SCOPE AND ACCEPTANCE

These Terms of Service ("Terms") govern commercial transactions between Pure Blu Shower and business customers, including distributors, wholesalers, retailers, commercial buyers, and authorized online resellers ("Merchant").

By placing a commercial order, submitting a purchase order, accepting an invoice, or otherwise purchasing products from Pure Blu Shower for business or resale purposes, the Merchant agrees to these Terms.

Where a separate written supply agreement exists, that agreement will take precedence to the extent of any direct conflict with these Terms.

3. MERCHANT REGISTRATION

Pure Blu Shower may require commercial customers to provide appropriate business information before granting merchant pricing, credit terms, or wholesale access.

Requested information may include:

  • Legal or trading name

  • Business registration details

  • Billing and delivery address

  • Authorized representative details

  • Business email and telephone number

  • Applicable tax or commercial documentation

  • Resale or distribution information

The Merchant is responsible for ensuring that all information provided is accurate and current.

Pure Blu Shower may decline, suspend, or terminate merchant access where reasonably necessary due to incomplete information, suspected misuse, payment risk, fraud, breach of these Terms, or other legitimate commercial reasons.

4. ORDERS AND PRICING

An order is not binding on Pure Blu Shower until accepted or confirmed.

Pure Blu Shower may reject or cancel orders before dispatch in circumstances including:

  • Pricing or listing errors

  • Product unavailability

  • Suspected fraud

  • Payment authorization failure

  • Incorrect customer information

  • Unreasonable quantities

  • Legal or regulatory restrictions

Pricing may change from time to time. Confirmed and paid orders will normally remain subject to the price agreed at the time of confirmation.

5. PAYMENT TERMS

Pure Blu Shower may accept the following payment methods depending on the transaction:

Unless commercial credit has been expressly approved, payment must be received before fulfilment or dispatch.

Approved credit terms, credit limits, and due dates will be stated separately in the relevant invoice or commercial agreement.

Where permitted by applicable law and expressly agreed, overdue commercial balances may incur reasonable administrative or late-payment charges.

6. DELIVERY WITHIN THE UAE

Pure Blu Shower provides delivery throughout the United Arab Emirates, including:

  • Dubai

  • Abu Dhabi

  • Sharjah

  • Ajman

  • Umm Al Quwain

  • Ras Al Khaimah

  • Fujairah

Indicative delivery times are:

Delivery estimates are not guaranteed unless expressly confirmed in writing.

Delays may occur due to product availability, courier disruptions, public holidays, weather, access restrictions, high order volumes, force majeure events, or other circumstances outside Pure Blu Shower's reasonable control.

7. DELIVERY ACCEPTANCE AND RISK

The Merchant is responsible for providing a complete and accurate delivery address and ensuring that an authorized person is available to receive the shipment.

Where supported by courier records, delivery may be evidenced by:

  • Signed proof of delivery

  • Courier tracking confirmation

  • Authorized recipient confirmation

  • Other recognized delivery records

The Merchant should inspect the shipment promptly following delivery.

Visible shortages, incorrect products, or transit damage should be reported as soon as reasonably possible and preferably within 48 hours.

8. PRODUCT WARRANTY

Pure Blu Shower warrants that products supplied to Merchants should be free from material manufacturing defects at the time of delivery and conform substantially to the relevant product description.

Unless otherwise specified for a particular product, the commercial warranty period is 12 months from the original purchase date for eligible manufacturing defects.

Warranty coverage does not normally include:

  • Ordinary wear and tear

  • Cartridge exhaustion or consumable lifespan

  • Incorrect installation

  • Misuse or abuse

  • Accidental damage

  • Unauthorized modification or repair

  • Damage caused by incompatible fittings or equipment

  • Damage caused by conditions outside stated operating specifications

  • Failure to follow installation or maintenance instructions

Warranty claims may require photographs, videos, proof of purchase, batch information, or return inspection.

9. RETURNS AND REFUNDS

Commercial returns are governed by the separate Pure Blu Shower Merchant Return & Refund Policy.

Key commercial conditions include:

  • Prior Return Merchandise Authorization (RMA) may be required

  • Applicable return periods depend on the Merchant's commercial terms

  • Restocking charges may apply

  • Returned products must meet applicable eligibility requirements

  • Custom and private-label goods may be non-returnable

  • End-consumer returns are generally handled by the Merchant

Where this section conflicts with the current Merchant Return & Refund Policy, the more specific return policy will apply.

10. MERCHANT OBLIGATIONS

The Merchant agrees to conduct its resale and commercial activities responsibly.

The Merchant must:

  • Maintain accurate order and inventory records

  • Handle products in accordance with relevant instructions

  • Provide accurate product information to customers

  • Avoid false, exaggerated, or misleading advertising

  • Promptly notify Pure Blu Shower of suspected manufacturing or quality issues

  • Comply with applicable UAE commercial and consumer requirements

  • Avoid unauthorized modification of products

  • Avoid removing or changing traceability markings

  • Avoid unauthorized relabeling or rebranding

  • Refrain from representing itself as Pure Blu Shower unless expressly authorized

  • Protect confidential commercial information provided by Pure Blu Shower

11. AUTHORIZED SALES CHANNELS

A Merchant may resell Pure Blu Shower products through legitimate retail or online channels permitted under its commercial arrangement.

Pure Blu Shower may restrict particular marketplaces, territories, reseller accounts, or distribution channels where necessary to protect product integrity, regulatory compliance, brand reputation, or existing distribution arrangements.

A Merchant must not knowingly supply counterfeit, modified, or misrepresented Pure Blu Shower products.

12. INTELLECTUAL PROPERTY

All applicable intellectual property rights associated with Pure Blu Shower remain with their respective owner.

This may include:

  • Brand names

  • Logos

  • Product photography

  • Product descriptions

  • Packaging

  • Graphics

  • Website content

  • Marketing materials

  • Product design elements

Purchasing Pure Blu Shower merchandise does not transfer ownership of intellectual property rights to the Merchant.

Unless authorized in writing, Merchants may not:

  • Register Pure Blu Shower trademarks or confusingly similar marks

  • Register misleading domain names or social media accounts

  • Present themselves as the brand owner

  • Copy or reproduce proprietary materials beyond reasonable resale use

  • Alter official branding in a misleading manner

13. MARKETING AND ADVERTISING

Merchants may use approved Pure Blu Shower product information for legitimate resale purposes.

Marketing materials must:

  • Accurately identify the relevant product

  • Avoid misleading performance claims

  • Avoid unsupported health or medical claims

  • Clearly distinguish the Merchant from Pure Blu Shower where applicable

  • Comply with applicable advertising and consumer requirements

Pure Blu Shower may request correction or removal of materially inaccurate brand or product representations.

14. CONFIDENTIALITY

Non-public commercial information received by a Merchant may be treated as confidential where its nature or context reasonably indicates confidentiality.

This may include:

  • Wholesale price lists

  • Discount structures

  • Commercial quotations

  • Credit arrangements

  • Non-public product information

  • Sales strategies

  • Supplier information

  • Distribution arrangements

The Merchant must not disclose confidential information to third parties except where reasonably necessary for legitimate business operations or where disclosure is legally required.

Confidentiality obligations may survive termination of the commercial relationship.

15. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Pure Blu Shower will not be liable for indirect, incidental, special, punitive, or consequential losses arising from a commercial transaction.

This may include loss of:

  • Profit

  • Revenue

  • Business opportunity

  • Anticipated savings

  • Reputation

  • Customer relationships

Where liability cannot lawfully be excluded, Pure Blu Shower's aggregate liability in connection with a specific commercial order will generally be limited to the amount actually paid for the affected products, except where applicable law requires otherwise.

Nothing in these Terms excludes liability that cannot legally be limited or excluded.

16. MERCHANT INDEMNITY

To the extent permitted by applicable law, a Merchant may be responsible for losses or claims arising from its own:

  • Misrepresentation of products

  • Improper installation services

  • Unauthorized product modification

  • Misleading advertising

  • Failure to comply with applicable resale requirements

  • Misuse of Pure Blu Shower branding or intellectual property

  • Unlawful business practices

This provision does not apply to liability arising directly from a confirmed manufacturing defect or Pure Blu Shower's own unlawful conduct.

17. SUSPENSION AND TERMINATION

Either party may terminate an ongoing commercial relationship subject to applicable agreements and outstanding obligations.

Pure Blu Shower may suspend or terminate merchant access immediately where there is a serious breach involving:

  • Fraud or suspected fraud

  • Unauthorized brand use

  • Non-payment

  • Counterfeit activity

  • Material misrepresentation

  • Unlawful resale activity

  • Serious breach of confidentiality

  • Repeated breach of agreed commercial terms

For ordinary commercial termination without cause, either party may provide 30 days' written notice where an ongoing agreement exists and does not specify a different notice period.

Termination does not cancel amounts already owed or obligations that by their nature should survive termination.

18. CONSEQUENCES OF TERMINATION

Following termination:

  • Outstanding invoices remain payable

  • Existing claims remain subject to applicable return and warranty terms

  • Confidential information must remain protected

  • Unauthorized use of Pure Blu Shower branding must cease

  • Approved account access may be disabled

  • Accrued contractual rights remain unaffected

19. FORCE MAJEURE

Pure Blu Shower will not be responsible for a delay or failure caused by circumstances beyond its reasonable control.

Such circumstances may include:

  • Natural disasters

  • Severe weather

  • Fire or flood

  • Government restrictions

  • War or civil unrest

  • Transportation disruptions

  • Courier interruption

  • Telecommunications failures

  • Supplier disruption

  • Industrial action

  • Public health emergencies

  • Other comparable events outside reasonable control

Pure Blu Shower will use reasonable commercial efforts to resume performance when practicable.

20. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms and commercial transactions with Pure Blu Shower are governed by applicable laws and regulations of the United Arab Emirates and the Emirate of Dubai, unless a separate written agreement specifies otherwise.

The parties should first attempt to resolve commercial disputes through good-faith direct communication.

A typical escalation process may include:

  1. Written notice describing the issue

  2. Internal commercial review

  3. Good-faith negotiation between authorized representatives

  4. Formal proceedings before the competent authority or court if resolution cannot be reached

Any arbitration arrangement must be expressly agreed between the parties in writing.

21. AMENDMENTS

Pure Blu Shower may revise these Terms from time to time to reflect changes in commercial practices, operations, law, logistics, or product arrangements.

For existing contracted Merchants, changes will apply subject to any notice requirements contained in the relevant written supply agreement.

The Terms applicable to an individual confirmed order will generally be those in effect when the order was accepted, unless otherwise agreed.

22. SEVERABILITY

If any provision of these Terms is determined by a competent authority to be unlawful, invalid, or unenforceable, the remaining provisions will continue to apply to the fullest extent permitted by law.

23. NO WAIVER

Failure by Pure Blu Shower to immediately exercise a contractual right does not constitute a permanent waiver of that right.

Any waiver must apply only to the specific matter for which it is given unless expressly stated otherwise.

24. ASSIGNMENT

A Merchant may not transfer material rights or obligations under an approved commercial agreement without prior written authorization where such authorization is reasonably required.

Pure Blu Shower may transfer contractual rights as part of a legitimate corporate restructuring, transfer of business, or similar commercial transaction, subject to applicable law.

25. ENTIRE COMMERCIAL AGREEMENT

These Terms should be read together with the applicable:

  • Merchant Return & Refund Policy

  • Privacy Policy

  • Commercial quotation

  • Invoice

  • Purchase order accepted by Pure Blu Shower

  • Any separate written supply or distribution agreement

Where a specifically negotiated written agreement conflicts with these general Terms, the specifically negotiated provision will normally prevail.
